Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and The Hana Sachiko Company, Inc., a Delaware corporation located at 1007 N. Orange St., 4th Floor, Wilmington, Delaware 19801(“we,” “us,” the “Company”), and cover your access to and use of https://www.thehanasachikocompany.comand everything on it (the “Site”). If you submit an application or pitch, our Submission Agreement also applies.

1. Eligibility and acceptable use

You must be at least 18 and able to form a binding contract. You agree not to: misuse or disrupt the Site; attempt to access it in an unauthorized way; probe, scan, or test its security; scrape or harvest data except as expressly permitted; submit malware, spam, or unlawful, infringing, or deceptive content; impersonate anyone; or use the Site to violate any law or the rights of others.

2. Our intellectual property

The Site and its content — including text, design, graphics, logos, the The Hana Sachiko Company name and marks, the Hana Sachiko name and likeness, and all software — are owned by us or our licensors and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for its intended purpose. All rights not expressly granted are reserved. You may not copy, modify, distribute, sell, or create derivative works from the Site without our written permission.

3. Your submissions

Anything you send us through the Site is governed by the Submission Agreement, which is incorporated into these Terms by reference. In short: submissions are not confidential, you grant us a broad license (including to develop and train our artificial-intelligence systems), and we have no obligation to use or compensate you absent a separate signed agreement.

4. Third-party services and links

The Site relies on third-party providers (including cloud hosting, storage, email, and artificial-intelligence services) and may link to third-party sites. We are not responsible for third-party services or content, and your use of them is governed by their terms.

5. Disclaimers

The Site is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.

6. Limitation of liability

To the fullest extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Site or these Terms; and our total aggregate liability will not exceed US $100.

7. Indemnification

You will defend, indemnify, and hold harmless the Company and its officers, directors, employees, agents, and collaborators from any claim, loss, or expense (including reasonable legal fees) arising out of your use of the Site or your breach of these Terms.

8. Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) survive termination.

9. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and disputes are subject to the exclusive jurisdiction of the state and federal courts located in Delaware. Each party waives any right to a jury trial and to participate in a class, collective, or representative action.
