Submission Agreement

Read this before you send us anything. By submitting an application, a pitch, or any material through our form, you agree to these terms.
This Submission Agreement (“Agreement”) is a binding contract between you (“you,” the “Writer”) and The Hana Sachiko Company, Inc., a Delaware corporation with offices at 1007 N. Orange St., 4th Floor, Wilmington, Delaware 19801(“we,” “us,” or the “Company”). It governs any idea, pitch, logline, treatment, script, writing sample, biography, link, file, answer, or other content you submit to us (collectively, your “Submission”). If you do not agree, do not submit.
1. No confidential or fiduciary relationship
You submit voluntarily and not in confidence. We receive a large volume of submissions, and we and our collaborators independently create, develop, acquire, and evaluate stories, characters, worlds, and other material every day. Nothing in your Submission is treated as confidential, secret, or proprietary, and no confidential, fiduciary, agency, employment, partnership, or joint-venture relationship is created by your Submission or by our review of it. You should not include anything you wish to keep secret.
2. License you grant us
You keep whatever ownership you already have in your Submission. Subject to Section 6, submitting does not transfer ownership of your underlying work to us. However, so that we can receive, read, evaluate, discuss, store, and learn from submissions, and operate and improve our studio and its technology, you grant us the following license, effective on submission:
A worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to host, store, reproduce, display, perform, excerpt, analyze, adapt, create derivative works from, and otherwise use your Submission and the information in it for the following purposes: (a) reviewing and evaluating you and your Submission; (b) internal research, analytics, benchmarking, and record-keeping; (c) developing, training, testing, fine-tuning, and improving our products, services, tools, models, and artificial-intelligence systems (including the system we call Hana Sachiko); and (d) contacting you about your Submission.
3. Artificial intelligence and machine learning
You specifically acknowledge and agree that your Submission and the data associated with it may be processed by, used to develop, and used to train and improve automated and artificial-intelligence systems, including for generating assessments of submissions, analytics, and future creative and operational tools. This use is part of how our studio works and is included in the license above. You waive any objection to such processing to the maximum extent permitted by law.
4. No obligation; no compensation for a Submission
We are under no obligation to read, respond to, use, credit, return, or compensate you for any Submission, or to keep it. We may decline, ignore, or delete any Submission for any reason or no reason. Any payment, credit, ownership, or other consideration exists only if and when it is set out in a separate signed written agreement between you and us (see Section 6).
5. Independent development and waiver of similar-works claims
Because we and others independently develop material, our future projects may be similar or identical to your Submission in theme, premise, character, setting, or other element, whether by coincidence or because the idea was already known to or being developed by us or available from other sources. To the fullest extent permitted by law, you release and will not bring any claim against us (including for idea theft, breach of implied contract, breach of confidence, or misappropriation) arising out of any such similarity, and you agree that our only obligations to you are those expressly stated in a separate signed written agreement.
6. If we work together — ownership and “writers as owners”
Our public promise to make writers owners and to share in the upside is real, and it applies to writers we actually engage. That relationship — including any assignment or sharing of intellectual property, ownership stakes, creative control, credit, and compensation — is created only by a separate, individually negotiated written agreement signed by both you and an authorized officer of the Company. This Submission Agreement governs the intake and evaluation stage only and does not itself grant you ownership, compensation, or any promise of engagement, and does not itself transfer your work to us.
7. Your representations and warranties
- The Submission is your original work, or you have all rights and permissions necessary to submit it and to grant the license above.
- The Submission does not infringe or violate any copyright, trademark, trade secret, privacy, publicity, contract, or other right of any person.
- You are at least 18 years old (or the age of majority where you live) and able to enter into this Agreement.
- The information you provide (including contact details and achievements) is truthful and accurate.
8. Indemnification
You will defend, indemnify, and hold harmless the Company and its officers, directors, employees, agents, and collaborators from and against any claim, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of your Submission or your breach of this Agreement.
9. Disclaimers and limitation of liability
Our site and review process are provided “as is” and “as available,” without warranties of any kind. To the fullest extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to your Submission or this Agreement; and our total aggregate liability arising out of or relating to your Submission or this Agreement will not exceed US $100.
10. Governing law and disputes
This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You and the Company submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not otherwise subject to binding individual arbitration, and each party waives any right to a jury trial and to participate in a class, collective, or representative action.
11. General
We may update this Agreement; the version in effect when you submit governs your Submission. If any provision is unenforceable, the rest remains in effect. This Agreement, together with our Terms of Service and Privacy Policy, is the entire agreement between you and us about submissions. Questions: hi@thehanasachikocompany.com.
